Dangote Petroleum Refinery and Petrochemicals has successfully completed a landmark private equity placement, raising approximately US$2.5 billion in fresh capital to support the expansion of its refining and petrochemical operations.


The company announced on Thursday that the transaction, completed on 23 July 2026, attracted subscriptions worth 3.7 times the amount initially offered, making it one of the most successful private equity placements on the African continent.


According to the company, the deal is believed to be Africa's largest publicly disclosed primary private equity placement by value and marks the first time the refinery has raised equity capital from external investors beyond its legacy shareholder base.


Dangote Refinery said proceeds from the transaction will be used to accelerate the ongoing expansion of its refinery and petrochemical complex, strengthen its capital structure and improve financial flexibility to support future growth initiatives.

The offering drew strong interest from a diverse mix of international and African institutional investors, sovereign wealth funds, development finance institutions and strategic partners. Among the key participants were the Africa Finance Corporation (AFC) and Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank), alongside a broad base of institutional and individual investors.


President and Chief Executive of Dangote Industries Limited and Chairman of Dangote Petroleum Refinery and Petrochemicals, Aliko Dangote, described the successful fundraising as a strategic milestone for the company.


He said the equity injection would deepen and institutionalise the refinery's shareholder base while improving long-term funding and supporting future expansion.


Dangote added that the transaction reinforces the company's commitment to developing domestic refining and petrochemical capacity, reducing Africa's dependence on imported refined petroleum products and strengthening the continent's energy security.


Managing Director and Chief Executive Officer of Dangote Petroleum Refinery and Petrochemicals, David Bird, attributed the overwhelming investor response to the company's operational performance and leadership.


"The exceptional demand we saw is a testament to our operational excellence, execution capability, and investor confidence in the refinery's leadership," Bird said.


The company noted that the successful private placement positions the refinery to continue executing its long-term growth strategy, expand refining and petrochemical capacity and strengthen Africa's energy security through world-scale industrial infrastructure.


Dangote Refinery also acknowledged the contributions of its professional advisers for their role in delivering the successful transaction, describing the capital raise as a major milestone in advancing its long-term vision of building a globally competitive energy enterprise.
